Companies House Web Filing and Confirmation Statements

All companies have to submit an annual Confirmation Statement (formerly Annual Return AR01) with details of directors, shareholders, etc.

This form does not contain accounting or tax information, and is normally dealt with by you rather than us, but we can assist with filing if you would like us to.

There is a mandatory filing fee payable to Companies House to file the Confirmation Statement of £34 if filed electronically, or £62 if filed on paper – Note this cost increased from 1st May 2024 due to changes in Companies House fees.

People with Significant Control (PSC)

You are required to keep a register of the people who control your company – know as Persons with Significant Control (“PSCs”). There are criminal penalties if you do not do this.

Every time you file a Confirmation Statement you will be required to confirm the Persons with Significant Control. (See our separate guidance on Maintaining a Register of People with Significant Control)

The Confirmation Statement must be filed once a year as a minimum, and from June 2017 updates must be filed contemporaneously if there are changes in PSCs, e.g. Changes in shareholdings or controlling shareholders details.

In this context PSC as a shorthand for “Person with Significant Control” should not be confused with PSC as a shorthand for “Personal Service Company”
