Confirmation Statement CS01
All companies have to submit an annual Confirmation Statement CS01 with details of directors, shareholders, etc.
This form does not contain accounting or tax information, and is normally dealt with by you rather than us, but we can assist with filing if you would like us to.
There is a mandatory filing fee payable to Companies House to file the Confirmation Statement of £34 if filed electronically, or £62 if filed on paper – these change from 1st February 2026 to £50 and £110 respectively.
Companies House no longer send paper reminders for Confirmation Statements, so it is advised that people register with Companies House for email updates.

People with Significant Control (PSC)
You are required to keep a register of the people who control your company – known as Persons with Significant Control (“PSCs”). There are criminal penalties if you do not do this.
Every time you file a Confirmation Statement you are required to confirm the Persons with Significant Control. (See our separate guidance on Maintaining a Register of People with Significant Control)
The Confirmation Statement must be filed once a year as a minimum, and updates must be filed contemporaneously if there are changes in PSCs, e.g. Changes in shareholdings or controlling shareholders details.
Updated Confirmation Statements do not attract a fee from Companies House – this is charged for the first filing in any year only.
In this context PSC as a shorthand for “Person with Significant Control” should not be confused with PSC as a shorthand for “Personal Service Company”
Identification
From 18th November 2025 it is a a requirement that all Directors, LLP partners and PSCs have their identification verified at Companies House.

At the time of writing (40th November 2025) the ID requirement is new and evolving, and there are considerable teething problems. Here is what we know:
- All Directors / LLP Partners / PSCs will need a personal code – see the link above on obtaining this. This code is personal to the individual and is used for all appointments they have.
- For Director/LLP Partners /PSC appointments after 18th November the code will be needed at the time of appointment / notification to Companies House.
For existing appointments as Director/Partner/PSC:
- The code needs to be entered separately for Directors/Partners and PSCs, even if the Director/Partner is a PSC.
- For Directors / LLP partners this code is entered against the company record at the time of completing the first Confirmation Statement after 18th November 2025.
- For a PSC who is a Director/Partner the code is entered via form VS01 within 14 days of the Completion Statement. Anecdotally it seems in some cases / many cases it cannot be entered at the same time, and needs a gap of at least 24 hours.
- For a PSC who is not a Director/Partner the code is entered via form VS01 within the first 14 days of their birth month, eg born on 25th December, enter during the period 1st to 14th December.
- In some instances, even if the PSC is a Director/Partner they may not be identified as such if the name record against Director/Partner on the one part, and PSC on the other part, doesn’t match at Companies House. Eg if the Director/partner Record is “John David Smith” but the PSC record is “John Smith”. In such cases the prudent course of action is to adjust both records to match, however it appears this does not change the date requirements which were fixed at 18th November 2025.
- At this time we do not know if Companies House will send reminders about the birth month filing requirements for PSCs, and we do not know if there will be a penalty regime for non compliance.
If you check the company record at Companies House it clearly states (a) verification dates for Directors/partners and PSCs under the relevant sections for “People” and “Persons with Significant Control”, and also indicates status when complete.
Share Transfers
A common point of confusion relates to share transfers, and in particular Stock Transfer Forms. Stock Transfer Forms are for Stamp Duty only (where duty is applicable – in most share transfers no duty is payable), and these forms are not registered at Companies House – if they are sent in they will be rejected.
Whenever there is a share transfer, you are required to notify Companies House within 14 days if this has an effect on the Persons with Significant Control. This is done by filing an additional Confirmation Statement.
Filing Your Own Confirmation Statement
Many of our clients file their own Confirmation Statement. Here are some tips:
First, you will need your personal login for Companies House, which will be via the Government One Login service going forward.
Secondly, you will need the authorisation code for the company. This would have been issued at incorporation, and you can request a copy be sent by Royal Mail to the Registered Office.
Next, check your information on the Companies House register is correct, including:
- The details of your registered office, directors, secretary and the address where you keep your records
- Your statement of capital and shareholder information if your company has shares. Check that the share allocations are shown correctly
- Your standard industry classification (SIC code – the number that identifies what your company does)
After you’ve checked your information:
- File your Confirmation Statement via Companies House and pay the annual fee – File your confirmation statement (annual return) with Companies House
- You can report changes to your statement of capital, shareholder information and SIC codes at the same time.
- You can’t use the confirmation statement to report changes to your company’s officers, registered office address or the address where you keep your records – file those changes separately.
